Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") form a legally binding agreement between you ("you," "your," or "User") and PureRx Biotech INC ("WeTotalCare," "we," "our," or "us") governing your access to and use of the WeTotalCare website, mobile applications, member portal, and related services (collectively, the "Services"). By creating an account, accessing the Services, or clicking "I agree," you accept these Terms. If you do not agree, do not use the Services.

2. Eligibility

You may use the Services only if you:

• are 18 years of age or older;
• are a legal resident of the United States;
• are located in a state where the applicable telehealth or prescription service is lawfully available; and
• have the legal capacity to enter into a binding contract.

You agree to provide accurate, current, and complete information and to keep that information updated. You may not use the Services on behalf of any other person except as their legally-authorized representative.

3. The Services

WeTotalCare is a technology platform that connects users with independent, licensed healthcare providers practicing through third-party telemedicine provider networks (the "Provider Network") and with licensed compounding and dispensing pharmacies. WeTotalCare is not a medical group, medical practice, or pharmacy. WeTotalCare does not practice medicine, dispense medications, or provide medical advice. All clinical decisions are made by independent providers in their sole professional judgment.

4. Not for Emergencies

The Services are not appropriate for emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately. WeTotalCare and Provider Network clinicians do not provide emergency care, controlled-substance prescribing for chronic pain, or treatment of life-threatening conditions through the Services.

5. Telehealth Consent

By using the Services, you consent to receive medical evaluation, consultation, and treatment via telehealth. You understand the limitations of telehealth (including that a clinician may not have access to your full medical history, that not all conditions can be evaluated remotely, and that technical interruptions may occur), and you agree that the provider may decline to issue a prescription or refer you for in-person care if clinically appropriate.

6. Prescriptions and Compounded Medications

Prescriptions are issued at the sole discretion of the Provider Network clinician. Some treatments offered through WeTotalCare are compounded medications, which are prepared by licensed compounding pharmacies based on a provider's prescription. Compounded medications are not FDA-approved. Statements about compounded medications have not been evaluated by the FDA, and these products are not intended to diagnose, treat, cure, or prevent any disease. Individual results may vary. Shipping of medication is subject to state law and pharmacy availability and is not guaranteed.

7. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@wetotalcare.com if you suspect unauthorized use. You may not transfer or share your account with any other person.

8. Fees, Memberships, Cancellation

Membership and program fees are described at the point of purchase and are charged to the payment method you provide. Memberships renew automatically at the then-current rate until you cancel. You may cancel at any time through your member portal or by contacting support; cancellation will take effect at the end of the current billing period and will not entitle you to a refund for the current period unless required by law. One-time program fees are non-refundable once a clinician has reviewed your intake, except as required by law or our refund policy. Prescription fulfillment costs charged by partner pharmacies are separate and may be non-refundable once dispensed.

9. Acceptable Use

You agree not to:

• provide false or misleading information to a provider;
• use the Services to obtain medications for resale, diversion, or any unlawful purpose;
• share, post, or transmit any content that infringes the rights of others or is unlawful, harassing, defamatory, or harmful;
• attempt to gain unauthorized access to any part of the Services, other accounts, or our systems;
• interfere with or disrupt the Services, including via automated tools, scraping, or denial-of-service attacks;
• reverse engineer, decompile, or attempt to derive the source code of any portion of the Services.

10. Intellectual Property

All content, trademarks, logos, software, and other materials made available through the Services are owned by WeTotalCare or its licensors and are protected by U.S. and international intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access the Services for personal, non-commercial use, subject to these Terms. You may not copy, modify, distribute, sell, or create derivative works without our prior written consent.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses. Provider Network clinicians are independent and are solely responsible for the care they provide; WeTotalCare is not liable for the professional acts or omissions of any provider, pharmacy, or laboratory.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WETOTALCARE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the above may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless WeTotalCare and its affiliates from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services; (b) your breach of these Terms; (c) your violation of any law or the rights of any third party; or (d) any information you submit to the Services.

14. Dispute Resolution; Binding Arbitration; Class-Action Waiver

Please read this Section carefully. It affects your legal rights. You and WeTotalCare agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute") will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except that either party may bring an individual claim in small-claims court if eligible. The arbitration will be conducted in Palm Beach County, Florida, or another mutually agreed-upon location, in English, before a single arbitrator. The arbitrator's decision will be final and binding. The Federal Arbitration Act governs the interpretation and enforcement of this section.

YOU AND WETOTALCARE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.

30-Day Opt-Out. You may opt out of this arbitration agreement by sending written notice of your decision to opt out to legal@wetotalcare.com within thirty (30) days of first accepting these Terms. The notice must include your full name, address, and a clear statement that you wish to opt out of the arbitration agreement.

15. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Subject to Section 14, you and WeTotalCare agree that any judicial proceeding to enforce an arbitration award or for matters not subject to arbitration will be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and both parties consent to the personal jurisdiction of those courts.

16. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including for violation of these Terms. You may close your account at any time through your member portal or by contacting support. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law) will survive.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted to this page with an updated "Effective date" and, where appropriate, notified to registered users. Your continued use of the Services after a change takes effect constitutes your acceptance of the revised Terms.

18. Miscellaneous

These Terms (together with the Privacy Policy, HIPAA Notice of Privacy Practices, and any program-specific terms presented at point of purchase) constitute the entire agreement between you and WeTotalCare relating to the Services. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them without restriction.
